PROFESSIONAL TRAVEL AGENTS OF NORTH AMERICA (PTANA) HOLD HARMLESS AGREEMENT

PARTIES:

Indemnitee: Professional Travel Agents of North America (PTANA)

Indemnitor: Any individual or entity registering for the PTANA Annual National Convention, including but not limited to travel agents, guests, suppliers, tour operators, airline representatives, and cruise line representatives, effective upon the date of deposit payment (“Registrant”).
AGREEMENT:

Assumption of Risk: The Indemnitor acknowledges that participation in PTANA events, including but not limited to international travel, in-person, virtual, or hybrid events, carries inherent risks. These include, but are not limited to, personal injury, illness, death, property damage, travel disruptions, or other potential hazards associated with event participation.

Release and Waiver: The Indemnitor, on behalf of themselves, their heirs, assigns, and personal representatives, hereby releases, waives, and discharges PTANA, its officers, directors, agents, employees, and affiliates from any and all liability, claims, demands, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by the Indemnitor or their property, whether caused by the negligence of PTANA or otherwise, while participating in any PTANA-related activity.

Indemnification: The Indemnitor agrees to indemnify, defend, and hold harmless PTANA, its officers, directors, agents, employees, and affiliates from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorney’s fees) arising from or related to the Indemnitor’s participation in PTANA events, including but not limited to: a. Injuries or damages sustained by the Indemnitor or any third party. b. Any breach of this Agreement by the Indemnitor. c. Any act or omission, including negligence or misconduct, by the Indemnitor.

Nonrefundable and Nontransferable Payments; Travel Insurance Recommendation: a. All payments for PTANA events, including but not limited to registration fees, deposits, and travel-related costs, are nonrefundable and nontransferable. No exceptions will be made for cancellations, no-shows, or other circumstances preventing attendance. b. PTANA highly recommends that all Indemnitors purchase travel insurance to cover any unexpected expenses, including trip cancellations, medical emergencies, lost baggage, or other unforeseen circumstances.

Acknowledgment of Independent Entities: The Indemnitor acknowledges that PTANA National Organization and its local chapters are separate legal entities. PTANA National does not enter into, approve, or assume liability for any contracts, agreements, or financial obligations made by local chapters. Commitments, expenses, or outstanding costs related to chapter-hosted events are the sole responsibility of the respective chapter. All contracts, invoices, and agreements must be made in the name of the local chapter and are binding solely between the local chapter and the respective venue, speaker, or vendor. PTANA National shall be held harmless from any claims, disputes, or financial obligations arising from such agreements.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: This Agreement constitutes the entire understanding between the Parties regarding the subject matter herein and supersedes all prior discussions, agreements, or understandings of any kind.
ACKNOWLEDGMENT AND ACCEPTANCE
By registering for the PTANA Annual National Convention or any PTANA events hosted by local chapters and submitting a deposit payment, the Indemnitor acknowledges that they have read, understood, and agree to the terms of this Hold Harmless Agreement, including the nonrefundable and nontransferable payment policy and the recommendation to purchase travel insurance.
Indemnitor (Registrant): Effective upon deposit payment.
